1. Acceptance of Terms
By accessing or using Studimoe (the "Service"), provided by Studimoe Inc. ("Studimoe," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service, via email, or by updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
2. Description of Service
Studimoe is an AI-powered academic assistant that helps students organize their coursework and study more effectively. The Service includes:
- Assignment Sync: A Chrome extension that scrapes assignment data from supported Learning Management Systems (Canvas, Blackboard, Google Classroom, and PrairieLearn) and syncs it to your Studimoe dashboard.
- AI Chat: An AI-powered conversational assistant that helps you understand assignments, generate study ideas, and receive academic guidance.
- Study Guide Generation: AI-generated structured study guides based on your assignments and context material.
- Writing Style Profiles (Tone Sheets): AI-analyzed writing characteristics from documents you upload, used to generate responses in your personal voice.
- Citation Tools: Automatic citation formatting in APA, MLA, and Chicago styles.
- Notes: A note-taking feature for organizing your study materials.
- Subscription Management: Stripe-powered billing for Free and Pro plan tiers.
The Service is available only to individuals with a valid Studimoe account. Some features require the Studimoe Chrome extension to be installed and active.
3. Eligibility and Account Requirements
To use Studimoe, you must:
- Be at least 13 years old (or the minimum age required by applicable law in your jurisdiction).
- Have the legal capacity to enter into a binding agreement.
- Provide accurate and complete information when creating your account.
- Maintain the security of your authentication credentials (email-based magic-link tokens).
- Not share your account credentials with any other person.
If you are under 18 (or the age of majority in your jurisdiction), you may use the Service only with the consent and supervision of a parent or legal guardian. Parents or guardians are responsible for their minor child's use of the Service.
You are solely responsible for all activity that occurs under your account. If you suspect unauthorized use of your account, notify us immediately at support@studimoe.com.
4. Chrome Extension and LMS Integration
Studimoe provides a Chrome browser extension ("Extension") that interacts with Learning Management Systems (LMS) to scrape assignment data. By installing and using the Extension, you agree to the following:
- Permissions: The Extension requires access to read page content on supported LMS platforms, store data locally in your browser, communicate with Studimoe servers, and manage scheduled sync alarms.
- Data Scraping: The Extension reads assignment information (title, course, due date, points, URL) from LMS pages you visit. It does not access or transmit any other content from those pages.
- LMS Credentials: Studimoe does not store your LMS login credentials. Authentication to LMS platforms is handled through your existing browser session.
- Local Storage: The Extension stores assignment data, authentication tokens, and configuration settings locally in your browser using
chrome.storage.local. This data is not shared with any third party. - Third-Party LMS Terms: Your use of LMS platforms is governed by their respective terms of service. Studimoe is not affiliated with Canvas, Blackboard, Google Classroom, or any other LMS provider. We are not responsible for any changes to those platforms that may affect the Extension's functionality.
You may uninstall the Extension at any time through your Chrome extension settings. Uninstalling the Extension will not delete data already synced to Studimoe servers; you must request account deletion separately if desired.
5. AI Features and Output
Studimoe integrates artificial intelligence (AI) powered by third-party language models (primarily OpenAI's GPT models). By using AI features, you acknowledge and agree:
- Probabilistic Output: AI-generated content ("Output") is inherently probabilistic and may contain inaccuracies, inconsistencies, or inappropriate suggestions. Output is provided "as is" without any warranty of accuracy or fitness for a particular purpose.
- User Responsibility: You are solely responsible for reviewing, verifying, and deciding whether to use any AI-generated Output. You must ensure that your use of Output compl with your educational institution's academic integrity policies.
- No Professional Advice: AI Output does not constitute professional academic, legal, medical, or any other form of advice. You should exercise independent judgment and consult qualified professionals when appropriate.
- Streaming, Not Stored: AI chat messages are streamed in real time and are not persisted to our database. Study guides, citations, tone sheets, and notes generated by AI are stored under your account.
- Tone Sheet Analysis: When you upload a document for writing-style analysis, the raw document text is sent to the AI model for analysis and is not stored. Only the AI-extracted characteristics (voice patterns, grammar patterns, commonly used words, etc.) are saved to your account.
- Input Limits: To maintain service quality and security, we impose character limits on messages (4,000 characters per message, maximum 20 messages per chat turn) and document uploads (50,000 characters for Tone Sheet analysis).
6. Acceptable Use and Academic Integrity
You agree to use Studimoe in a manner that is lawful, ethical, and consistent with the academic integrity policies of your educational institution. Specifically, you agree not to:
- Use the Service to facilitate plagiarism, cheating, or any other form of academic dishonesty.
- Submit AI-generated content as your own original work if prohibited by your institution or instructor.
- Use the Service to impersonate another person or misrepresent your authorship.
- Attempt to reverse-engineer, decompile, or extract the underlying code or models from the Service.
- Use the Service to transmit unlawful, defamatory, obscene, or harmful content.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our computer systems.
- Use automated tools (bots, scrapers, scripts) to access the Service except through our official Extension and API.
- Exceed rate limits or otherwise attempt to abuse or disrupt the Service's infrastructure.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms. We may also report academic misconduct to your institution when required by law or institutional policy.
We encourage you to review and follow your institution's specific guidelines on the use of AI tools for academic work. Our Academic Integrity page provides additional guidance.
7. User Content and Ownership
Ownership: You retain all ownership rights to the content you create, upload, or generate through the Service ("User Content"), including notes, assignments, study guides, citations, and tone sheets.
License to Studimoe: By submitting, uploading, or generating User Content through the Service, you grant Studimoe a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, process, and display such User Content solely for the purpose of providing, operating, maintaining, and improving the Service. This license includes, without limitation:
- Storing and syncing your assignment data between the Extension and your dashboard.
- Sending your content to AI models (OpenAI) to generate chat responses, study guides, tone-sheet analyses, and citations.
- Displaying your User Content within your personal dashboard.
- Performing backups and maintaining the integrity and security of our systems.
This license does not grant Studimoe the right to publish, sell, distribute, or commercially exploit your User Content. We do not sell your personal information or User Content to any third party.
Feedback: If you provide us with feedback, suggestions, or bug reports regarding the Service, we may use such information without obligation or compensation to you.
8. Subscription Plans and Billing
Studimoe offers Free and Pro subscription tiers. Certain features (e.g., higher usage limits, advanced AI capabilities) may be available only to Pro subscribers.
8.1 Billing
- All payments are processed securely by Stripe. Studimoe does not receive, process, or store your credit card or banking information.
- Subscription fees are billed in advance on a recurring monthly basis (or other billing cycle as specified at checkout).
- By subscribing, you authorize Studimoe (via Stripe) to charge the applicable fees to your designated payment method.
- All fees are stated in U.S. dollars unless otherwise specified. You are responsible for any applicable taxes associated with your subscription.
8.2 Cancellation and Refunds
- You may cancel your subscription at any time through your Stripe customer portal or by contacting support@studimoe.com.
- Upon cancellation, you will retain access to Pro features until the end of your current billing period.
- After the billing period ends, your account will revert to the Free tier with corresponding feature limitations.
- Refunds are not provided for partial billing periods. Payments are non-refundable except as required by applicable law or at our sole discretion.
8.3 Plan Changes
We reserve the right to modify subscription pricing, features, or availability at any time. Existing subscribers will be notified of material pricing changes in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8.4 Free Tier Limitations
Free-tier accounts are subject to usage limits (e.g., maximum number of courses, rate limits on API requests, limited AI features). These limits are specified in our pricing documentation and may be updated from time to time.
9. Intellectual Property
Studimoe IP: The Service, including its software, design, text, graphics, logos, trademarks, and AI model configurations, is owned by Studimoe Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any ownership rights to the Service.
Limited License: Subject to your compliance with these Terms, Studimoe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes.
Restrictions: You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of the Service or its underlying technology, except as expressly permitted by these Terms or applicable law.
Trademarks: "Studimoe" and related marks are trademarks of Studimoe Inc. You may not use these marks without our prior written consent.
10. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
We emphasize that we do not sell your personal information or User Content to any third party. Your data is used exclusively to operate, maintain, and improve the Studimoe application.
11. Third-Party Services and Links
The Service integrates with or links to third-party services, including but not limited to InstantDB, OpenAI, Vercel, Stripe, Microsoft Bing, and various LMS platforms. These third-party services are governed by their own terms of service and privacy policies.
Studimoe is not responsible for the content, terms, privacy practices, or availability of any third-party service. We encourage you to review the terms and privacy policies of each third-party service you interact with through our Service.
Inclusion of or integration with third-party services does not imply endorsement or affiliation.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM BIAS.
- THE SERVICE WILL MEET YOUR EXPECTATIONS OR ACADEMIC REQUIREMENTS.
- ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED.
YOU USE THE SERVICE AT YOUR OWN RISK. NO ADVICE OR INFORMATION (WHETHER ORAL OR WRITTEN) OBTAINED FROM STUDI MOE OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDI MOE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.
- DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED OUTPUT.
- DAMAGES RESULTING FROM ACADEMIC DISCIPLINE, GRADE PENALTIES, OR INSTITUTIONAL ACTION ARISING FROM YOUR USE OF THE SERVICE.
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
- DAMAGES RESULTING FROM THE CONDUCT OF THIRD PARTIES (INCLUDING LMS PROVIDERS, AI MODEL PROVIDERS, OR PAYMENT PROCESSORS).
IN NO EVENT SHALL STUDI MOE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO STUDI MOE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.
14. Indemnification
You agree to defend, indemnify, and hold harmless Studimoe Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service in violation of these Terms.
- Your User Content, including any claims that your User Content infringes the rights of a third party.
- Your violation of any third-party rights, including intellectual property rights and privacy rights.
- Your violation of any law, regulation, or your educational institution's academic integrity policies.
- Your use of AI-generated Output in any academic submission or public communication.
15. Termination
By You: You may terminate these Terms at any time by discontinuing use of the Service and requesting account deletion via support@studimoe.com.
By Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we determine (in our sole discretion) that you have violated these Terms, engaged in fraudulent or illegal activity, or engaged in conduct that we deem harmful to other users, our infrastructure, or our reputation.
Effect of Termination: Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, disclaimers, limitation of liability, indemnification, and governing law.
Data After Termination: Upon account deletion, we will remove your data from our active databases within a commercially reasonable timeframe. Some data may be retained in backup systems or for legal, regulatory, or legitimate business purposes (e.g., tax records related to Stripe payments).
16. Dispute Resolution and Arbitration
Informal Resolution: Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at legal@studimoe.com with a written notice describing the nature of the dispute. We will also attempt to resolve the dispute informally. If the dispute is not resolved within sixty (60) days of the notice, either party may proceed to formal proceedings.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.
Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree not to bring or participate in any class action, class arbitration, private attorney general action, or other representative proceeding against Studimoe.
Exceptions: Notwithstanding the foregoing, either party may bring an action in court to enforce its intellectual property rights or to seek injunctive or other equitable relief for unauthorized use of the Service.
17. Governing Law and Venue
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
For any disputes not subject to arbitration, you agree that any action or proceeding shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of such courts.
18. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any other agreements you enter into with Studimoe, constitute the entire agreement between you and Studimoe regarding the Service.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely, in whole or in part, in connection with a merger, acquisition, sale of assets, or by operation of law.
- Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, labor disputes, governmental actions, or internet service provider failures.
- Export Compliance: You may not use the Service in violation of any applicable export or re-export control laws or regulations, including those of the United States.
